1. Purpose
These Terms of Sale govern the sale of licenses for the RefChat software published by Lefeuvre H2 Consulting (Entreprise individuelle, SIREN 995 169 836, registered office: Rennes, France). Placing an order implies unreserved acceptance of these Terms and of the End User License Agreement (EULA).
2. Customers — professionals and consumers
RefChat is sold to professionals (researchers, laboratories, institutions, companies acting in the course of their business) as well as to consumers. Where the Customer acts as a consumer under French consumer law, they benefit as a matter of right from the corresponding protections, in particular the right of withdrawal (clause 7), statutory warranties (clause 9), and recourse to consumer mediation (clause 12). Between professionals, these consumer-protection provisions do not apply.
3. Products
RefChat is proprietary software licensed on a personal, non-transferable basis, for use on one (1) computer per activated license key. The software's features are described on this site and in the accompanying documentation.
4. Price and payment
Prices are shown in euros, all taxes included. The Publisher benefits from the French VAT exemption for small businesses (art. 293 B of the French Tax Code): "VAT not applicable, art. 293 B of the French Tax Code." Payment is due upon ordering and processed by the secure payment provider Stripe. The license is activated upon receipt of payment. An electronic invoice is issued to the Customer's email address.
5. Subscription, term, renewal and cancellation
Term and renewal. Depending on the plan chosen, the subscription is taken out for a period of one (1) month or one (1) year. It is automatically renewed for successive periods of the same duration unless cancelled. Payment is automatically charged at each renewal via Stripe. A one-time payment license may also be offered.
Information on renewal (consumers). Under article L. 215-1 of the French Consumer Code, a consumer Customer may cancel at any time; for annual subscriptions, the renewal deadline is notified before each renewal.
Cancellation by the Customer. The Customer may cancel at any time and free of charge from their online account (refchat.eu/gerer-abonnement), as easily as they subscribed ("three-click cancellation," art. L. 215-1-1 of the French Consumer Code). Cancellation takes effect at the end of the current subscription period; access remains available until that date. No pro-rata refund is due for the period already begun, subject to the applicable right of withdrawal.
Cancellation by the Publisher. In the event of non-payment or breach of these Terms, the Publisher may suspend or terminate the subscription after notifying the Customer.
6. Delivery
The software is made available as a download together with a license key sent by email after payment, within a maximum of 7 days (usually within minutes to a few hours).
7. Right of withdrawal (consumer Customer)
Principle. Under articles L. 221-18 et seq. of the French Consumer Code, a consumer Customer has a period of fourteen (14) calendar days from the conclusion of the contract to exercise their right of withdrawal, without having to give reasons, by email to serviceclient@refchat.eu or using the standard withdrawal form.
Waiver — digital content with immediate performance. As RefChat is digital content and a software service accessible immediately, a consumer Customer who requests to benefit from it before the end of the 14-day period: (i) expressly consents to immediate performance of the contract, and (ii) acknowledges losing their right of withdrawal once performance has begun — at the latest upon license activation (art. L. 221-28, 13° of the French Consumer Code). This consent is collected at subscription.
As long as the license has not been activated, a consumer Customer may exercise their right of withdrawal; a full refund will be issued within 14 days of receipt of the request.
Between professionals, the right of withdrawal does not apply.
8. Refund policy
Other than under the right of withdrawal, no refund is due after license activation. A commercial refund may exceptionally be granted, at the Publisher's sole discretion, in the event of a major malfunction not corrected within a reasonable time.
9. Statutory warranties
The Customer benefits, under the conditions provided by law, from the statutory warranty of conformity (art. L.217-3 et seq. of the French Consumer Code, for consumer Customers) and the warranty against hidden defects (art. 1641 et seq. of the French Civil Code). These warranties apply independently of any commercial warranty that may be granted.
10. Liability
The Publisher shall not be liable for indirect damages resulting from use of the software. Its total liability is capped at the amount paid by the Customer over the past 12 months. This limitation does not apply in the event of fraud, gross negligence, or personal injury.
11. Personal data
The processing of personal data is described in the Privacy Policy. For customers using the cloud indexing mode, the Publisher acts as a data processor within the meaning of art. 28 of the GDPR: a data processing agreement is available on request at serviceclient@refchat.eu.
12. Mediation, governing law and disputes
Prior complaint. Any complaint must first be addressed to the Publisher at serviceclient@refchat.eu.
Consumer mediation. Under articles L. 611-1 et seq. of the French Consumer Code, if a written complaint receives no satisfactory response within two (2) months, a consumer Customer may refer the matter free of charge to a consumer mediator. The Publisher has appointed the Société Médiation Professionnelle (SMP), a consumer mediator listed with the CECMC. Governing law. These Terms are governed by French law. For professional customers, any dispute falls under the exclusive jurisdiction of the Tribunal Judiciaire de Rennes. For consumer Customers, the jurisdiction rules of the French Code of Civil Procedure apply.
